可免费商用字体授权的“甜蜜的烦恼”免费商用字型授权意见征集-字帅网

自从猫啃网上线以来，承蒙和路大神和各位网友的支持，猫啃网搜集到的可免费商用字体越来越多。特别是这两年，由于“方正”这条“鲶鱼”的出现，使得中国越来越多的设计师小伙伴和自媒体的小伙伴对于版权的意识越来越强，也使得越来越多的高质量的免费商用字体如雨后春笋一般涌现。

但是随着猫啃君不断地搜集免费商用字体以及和各位网友的交流过程中发现，在我们中国的可免费商用字体也有“甜蜜的烦恼”。猫啃君收到不少网友的关于免费商用字体的咨询，问题大多是这款字体是不是可以永远免费商用？会不会突然收费，变成钓鱼执法？这款字体可不可以用来注册商标？可不可以嵌入软件，APP等？可不可以给我出一款授权书？等等这些问题。

然而，我们很多免费商用字体，特别是国内设计师发布的字体，大多都是个人制作，然后在一些公开的平台表示字体可以免费商用。但是对于字体的授权时间，使用范围，使用条款等并没有详细列明，特别是如果需要作者出具字体授权书，那更是难以实现。因为大多字体都是作者花了大量的私人时间制作并而免费给大家使用，再也没有精力也没有条件给每个使用者出具字体授权书。所以基本上都是回复“直接使用即可，无需授权书”。

但是，对于很多版权较强的公司开说，如果没有授权书，使用这款字体则可能存在风险。但是对于很多中小企业，老板也不舍得花钱去购买字体，因为老板觉得请你们设计师回来就是设计的，你自己的水平问题自己解决。另外对于自媒体人或者做淘宝天猫之类电商平台的个人店主，有时能不能盈利也是难题，更别说要另外花钱购买字体的授权。所以免费商用字体成为他们的第一选择。

然而国外对于这个问题，似乎早有解决方案，那就是采用公众授权SIL OFL，在这个方面的典范自然是“思源字体系列”。然而SIL OFL授权是一个非常宽松的授权，允许免费商用的同时，也允许随意修改，衍生版本，更改字体的名字等。另外还有GPL授权，APL授权等，也是相对较为宽松。而日本字体的共享，也有推出IPA授权。

而中国台湾也有公益组织推出的“创用CC授权”计划，提出「保留部份权利」（Some Rights Reserved）的相对思考与做法。Creative Commons 以模组化的简易条件，透过4大授权要素的排列组合，提供了6种便利使用的公众授权条款。创作者可以挑选出最合适自己作品的授权条款，透过简易的方式自行标示于其作品上，将作品释出给大众使用。透过这种自愿分享的方式，大家可以群力建立内容丰富、权利清楚、且便于散布的各式内容资源，嘉惠自己与其它众多的使用者。

反观我们国内，字体大部分都是以在公众平台声明的方式释出，即使是一些公司推出的免费商用字体也是这样。因为没有具体的可商用的时间，条款，权利，义务，免责条款等，无论对使用者和作者来说，都缺乏保障。特别是万一真的出现法律纠纷，打起官司来也将会十分困难。而我相信很多作者也不太清楚OFL授权条款，也不想以OFL授权条款释出自己辛苦创作的成果。对作者来说，只想给分享给大家使用，而保留自己对此作品的所有权和版权。

后来猫啃君与网友@夜煞之乐交流，他提出是否可以建立另外一种免费字体公众授权的构想，即《免费商用字型授权》以适合中国大陆免费商用字体的实际情况。《免费商用字型授权》（简称FCFL授权）的主要定义好字体的免费使用时间，使用范围，使用条款，免责条款等。如果作者同意使用该授权释出字体，则如果甲方爸爸或者公司需要出具字体授权文件，则使用这款公众授权文件即可。

《免费商用字型授权》核心内容如下：

1、字体的版权归作者所有，除非作者愿意并同意字体可以进行修改，任何人不得修改或制作衍生版本。如果作者同意字体可以进行修改和衍生，则字体自动变更为OFL授权。

2、字体允许全媒体商业发布，包含商业发布的所有类型。其中包括：手册（宣传册、楼书、说明书等）、海报（易拉宝、背景板、促销单张等）、平面广告（报纸及杂志广告等）、户外广告（车身、立柱及站台广告等）、影视广告（TVC、宣传片、视频短片等）、网络广告（非企业官网）、新媒体应用（手机广告、电子书或杂志等）、产品包装、影视作品内用字（电视剧、电影、专题节目等）、滚动式影视节目内用字、企业官方网站、网络商铺价格、VI标准字、企业手册、导视系统应用等、企业名称、商标或其他标志、标识、企业自有网站、微博、微信等互联网自媒体等各类应用形式及项目，且不限制设计稿数量、地域、印量和发布次数。

4、因使用该字体造成的损失，比如字体有错别字而造成误解或损失等，作者概不负责。

猫啃君觉得，如果中国也能这样的一个公众授权文档，无论对于作者还是使用者来说都是一个保障。所以猫啃君也希望尽自已的绵薄之力，推动这个构想方案。但是由于猫啃君与@夜煞之乐并非法律专业人士，也不知道此方案是否可行，所以希望大家可不吝赐教，提出宝贵的意见。如果刚好您是法律界人士，更希望能得您的专业意见。下面是《免费商用字型授权》（简称FCFL授权）详细文件，全文(包括英文版)均由@夜煞之乐编写拟定。

第〇章．前言

《免费商用字型授权》（Free For Commercial Use Font License，简称《FCFL》）是一个提供给普通字型设计师／字型公司使用的书面协议，旨在让普通字型设计师／字型公司可以永久性地同意该授权，避免被撤回授权的风险。

本授权强烈建议字型设计师／字型公司使用最新版本的《SIL开源字型授权》（SIL Open Font License，简称《SIL OFL》），其为一个协作型字型授权，可以帮助更多字型设计师／字型公司开发免费以及开源的字型。我们鼓励字型设计师／字型公司尽快从此授权转换成 SIL OFL 释出字型。

FCFL 允许以本授权释出的字型只可以在下列个人以及商业活动种使用。任何字体皆可以使用本授权条款释出，但是假如作者同意任何人制作任何衍生字型，使用本授权条款的字型以及其衍生字型必须以 SIL OFL 授权释出而非其他授权。这是为了在一个自由开源的基本框架内促进未来字型协作项目的共同开发，让字型能在彼此合作的关系中分享与改进。本授权针对衍生字型“必须以 SIL OFL 授权释出而非其他授权”的要求规定，并不适用于任何使用该释出字型或其衍生作品创建的任何文档。

第一章．定义

“版权持有者” (copyright holder) 指任何在版权里面被指明的人。
“字型软件” (font software) 指由版权持有者（或著作权人，copyright holder(s)）通过本授权下发布释出并明确标示本授权的一系列文件。“字型软件”可以包括源文件 (source files)、构建脚本 (build script) 以及说明文档。
“原始版本（或简称原版）” (original version) 指版权持有者所分发的“字型软件”构件的集合。
“修改版本” (modified version) 指通过增加、删除或替换 (substituting) “原始版本”中的任何部分或整体构件、转换字型软件的格式或移植字型软件到新的运作环境中而产生的衍生版本。
“作者” (author) 指任何为“字型软件”做出贡献的设计师、工程师、程序员、技术文档工程师 (technical writer) 或其他人员。
“内容” (content) 包括以数字数据形式提供给最终用户的产品，例如影片内容、动态和／或静态图片、电视节目或其他广播内容，以及由文字符号、图片、摄影图像、图形符号和／或类似内容所组成的产品。
“文档” (document) 指由各软件程序创建的PDF文件或其他内容，其中部分或全部“字型软件”将会嵌入或包含在文件中，并且仅用于显示字体（或称“嵌入式字型”, embedded fonts）。“嵌入式字型”仅用于显示嵌入 (embedded) 于特定文档中的字符，而“嵌入式字体”与“字型软件”中嵌入的字型具有差异，后者可以用于显示该特定文档之外的字符。
“软件” (software) 应当包括任何桌面程序、移动端应用程序、网页、与任何形式的数字指令集。
“复制和其他剥削方式” (reproduction and other exploitation) 应当包括复制、转让、分发、租赁、公共传播、展示、展览、改编和任何其他剥削方式。
“SIL 开源字型授权” (SIL Open Font Licese, SIL OFL) 指由 SIL 国际针对字型以及相关软件所设计的免费，开发及开源授权，发布于 https://scripts.sil.org/OFL。

字型软件是其“作者”和／或“版权持有者”的知识产权，前提是该软件是原创软件，并且受世界各地的版权法保护。

第三章．许可与条件

特此允许任何取得本“字型软件”副本的用户，授予在任何内容、文档和／或软件内免费使用的权力，但需要遵守下列所规定的条件：

无论是“原始版本”或“修改版本”，“字型软件”或其中任何独立的个别构件 (components)，均不能被单独销售。
“字型软件”可以与任何软件捆绑 (bundled)，和／或一并销售，前提是每份软件副本都必须包含本授权条款上述的版权声明 (copyright notice) 以及本授权条款全文。这些版权声明与条款全文可以被放置在独立纯文本文件、人类可读信息头、或文本／二进制文件内适当的、用户易于查阅浏览的机器可读元数据字段。
在没有作者或版权持有者的书面同意许可的情况下，不可对任何在本授权下释出的“字型软件”或任何独立的个别构件，使用复制和其他剥削方式制作“修改版本”。
作为第3段的特例，“字型软件”可以被转换成 WOFF，SVG，或 EOT 网页字体格式，前提是不可以任何其他方式修改“字型软件”，例如修改名称或者改动单独字形 (glyphs)。
假如一个在本授权释出的原版“字型软件”的作者或版权持有者同意任何“衍生版本”被制作（除了第4段的情况），包括以复制和其他剥削方式制作任何“衍生字型”，那么该“字型软件”的“原始版本”以及“衍生版本”将立即以《SIL开源字型授权》(SIL Open Font Licese, SIL OFL) 重新授权释出。作者或版权持有者可以决定该“字型软件”是否拥有“保留字型名称” (Reserved Font Name)。新的 SIL OFL 授权必须随原版“字型软件”重新分发。任何旧版本分发的“字型软件”也将会立即以《SIL开源字型授权》(SIL Open Font Licese, SIL OFL) 重新授权，而作者或版权持有者必须向大众通知重新授权的事宜。
版权持有者或“字型软件”的作者姓名不应被使用来推广、认可或宣传任何“修改版本”的字型。不过，在取得版权持有者的书面同意许可前提下，可以进行以上行为；向版权持有者和作者的贡献致谢而标示姓名也不在此列。
本“字型软件”可用于制作任意数量的内容与文档，不受用户的数量与地域所限制。
没有任何“衍生版本”的原版“字型软件”部分或整体均必须完全通过本授权下分发。
拥有任何“衍生版本”的原版“字型软件”部分或整体均必须完全通过 SIL OFL 授权下分发，也不可在任何其他授权条款下分发。
本授权针对释出字型“必须以同样授权或 SIL OFL 授权释出”的要求规定，并不适用于任何使用该“字型软件”创建的任何文档。

第四章．终止授权

本授权的期限应自用户收到“字型软件”之日起开始，并应在用户保留任何“字型软件”的情况下持续。
本授权在“字型软件”的“原始版本”出现任何“衍生版本”，包括以复制和其他剥削方式制作的“衍生版本”时将会自动终止。“字型软件”的“原始版本”以及“衍生版本”将立即以《SIL开源字型授权》重新授权释出，而作者或版权持有者必须依照第三章第5段向大众通知重新授权的事宜。
假如上述任一条款无法被遵守，本授权条款将会在没有通知下失效 (null and void)。在该情况下，用户不应使用该“字型软件”或对其进行复制和其他剥削方式。

第五章．免责声明

“字型软件”是以“按原样” (AS IS) 提供，并不作任何明示或暗示的保证，包括但不限于对“字型软件”的适销性 (MERCHANTABILITY)、特定用途适用性和不侵犯版权、专利权、商标权或任何其他权利的保证。此外，在任何情况下，无论是在合同诉讼、侵权诉讼或其他诉讼中，版权持有者均不承担因使用或无法使用“字型软件”，或出于任何使用“字型软件”的任何行为而产生、引起的任何索赔、损害或可归责事由而来的任何责任，包括任何一般、特殊、间接、附带或结果性损害。

Section 0. PREAMBLE

Free For Commercial Use Font License (FCFL) is a font license that is targetted for generic font authors/foundries to provide a written license such that the agreement can be made permanently without the risk of retracting.

This license strongly encourages font authors/foundries to use the newest version of “SIL Open Font License (SIL OFL)” which is a collaborative font licensing solution that can support more font authors/foundries to create free and open-source fonts. Authors/font foundries are encourages to switch to SIL OFL from this license as soon as possible.

The FCFL allows the licensed font to only be used for personal and commercial uses as listed below. Any fonts may be licensed under this license, but if the author agrees for any derivative works to be made, the font licensed under this license and all its derivative works must be released under SIL OFL and not under any other type of license. This is to stimulate further developments of collaborative font projects under a free and open framework in which fonts may be shared and improved in partnership with others. The requirement for derivative works using the licensed fonts to use SIL OFL does not apply to any document created using the fonts or their derivatives.

Section 1. DEFINITIONS

“Copyright Holder(s)” means whoever is named in the copyright(s) for the Font.
